We are seeking an experienced General Counsel to serve as the senior legal advisor for a national nonprofit organization involved with conservation and hunters’ rights. This executive leadership role will oversee legal strategy, governance, compliance, enterprise risk management, and contract oversight while serving as a trusted advisor to executive leadership and the Board of Directors. The General Counsel will play a key role in supporting organizational growth, managing complex legal matters, and ensuring sound governance and operational practices across the organization.
This position requires strong business judgment, executive presence, and the ability to provide practical guidance on complex legal and strategic matters in a collaborative environment.
Key Responsibilities
- Lead contract review and approval for vendor agreements, partnerships, consulting agreements, grants, and other organizational commitments.
- Serve as primary legal advisor to executive leadership, the Board of Directors, and board committees.
- Guide the organization on governance matters, acquisitions, fiduciary obligations, and policy development.
- Review board materials, resolutions, and governance documentation to ensure alignment with organizational standards and applicable laws.
- Draft and negotiate agreements that protect organizational interests and reduce legal exposure.
- Create consistent legal processes, contract standards, and approval workflows across departments.
- Advise leadership and internal stakeholders on risk, contractual obligations, and approval authority.
- Provide counsel on employment matters, 501c3/c4 filings, regulatory compliance, privacy concerns, insurance issues, and operational risk.
- Manage legal disputes, investigations, litigation matters, and relationships with outside counsel.
- Partner with executive leadership on strategic initiatives, organizational growth, and enterprise risk management.
- Deliver practical legal guidance that supports sound decision-making across the organization.
Requirements
- Juris Doctor from an accredited law school.
- Active bar membership in good standing.
- Willingness to live in San Antonio, TX and travel up to 20%. No hybrid/remote work arrangements are available.
- 10+ years of senior-level legal experience with significant exposure to governance, contracts, compliance, and executive advisory responsibilities.
- Demonstrated experience advising Boards of Directors and executive leadership teams.
- Extensive experience drafting and negotiating complex agreements.
- Strong understanding of corporate governance, enterprise risk, and regulatory compliance.
- Exceptional communication, discretion, and relationship management skills.
- Experience within nonprofit, healthcare, education, association, or other complex multi-stakeholder organizations preferred.
Compensation
- $175,000–200,000, depending on experience.
