We are seeking an experienced General Counsel to join a nonprofit membership-driven association in San Antonio, Texas. This position will serve as the organization’s primary legal advisor, providing strategic counsel on a wide range of legal matters to support its mission and growth objectives.
The successful candidate will manage all legal affairs and advise the executive leadership team and Board of Directors on complex regulatory issues. This role demands a strategic thinker with nonprofit legal expertise, business acumen, and the ability to ensure compliance with federal, state, and local laws.
Key Responsibilities
- Serve as the primary legal advisor to the executive team and Board of Directors.
- Draft, review, and negotiate complex business contracts and agreements.
- Provide guidance on nonprofit organizational legal matters, including 501(c)(3) vs. 501(c)(4) structures.
- Oversee the preparation and submission of Form 990 filings and other regulatory requirements.
- Lead and manage legal aspects of mergers and acquisitions.
- Develop and implement legal policies, procedures, and risk management strategies.
- Engage outside counsel when specialized expertise is required.
- Ensure legal compliance with applicable federal, state, and local regulations.
- Monitor legislative developments affecting the organization’s operations.
Requirements
- Juris Doctor (JD) from an accredited law school.
- Texas state licensure preferred but not required.
- At least seven years of relevant legal experience.
- Proficiency in business contracts, nonprofit legal structures, Form 990 filings, and mergers and acquisitions.
- Strong understanding of nonprofit governance principles.
- Excellent analytical, negotiation, and communication skills.
- Ability to translate complex legal concepts into practical business guidance.
Preferred Qualifications
- Previous in-house counsel experience at a nonprofit organization.
- Experience with employment law matters.
- Background in managing litigation.
- Knowledge of federal and state regulations affecting nonprofit organizations.
- Experience working with a board of directors.
Compensation
- $180,000 – $200,000
